Bachelorarbeit aus dem Jahr 2008 im Fachbereich BWL - Bank, Börse, Versicherung, Note: 2,0, Universität Salzburg, 26 Quellen im Literaturverzeichnis, Sprache: Deutsch, Abstract: Die vorliegende Arbeit beschäftigt sich mit der österreichischen Übernahmekommission, als Aufsichtsbehörde des Übernahmegesetzes.
Trotz der relativen kurzen Zeit, die das Übernahmegesetz nun in Kraft ist, gibt es bereits eine Fülle an wissenschaftlicher Literatur zu diesem Thema. Bei der Auswahl der Literatur war besonders darauf Acht zu nehmen, dass seit den Änderungen des Übernahmerecht-Änderungsgesetz 2006, große Teile der Literatur veraltet und nicht mehr auf dem neuesten Stand sind.
Zur Übernahmekommission selbst gibt es recht wenig Literatur. Meist wird sie im Zuge von Abhandlungen über das Übernahmegesetz mitbehandelt. Da eine Arbeit über die Kommission aber ohnedies nicht verfasst werden kann, ohne das Übernahmegesetz mitzubehandeln, fällt dies nicht weiter ins Gewicht. Als große Hilfe bei der Arbeit stellte sich auch die nichtamtliche Website der Übernahmekommission www.takeover.at heraus. Hier sind Entscheidungen, Pressemitteilungen, Stellungnahmen und vieles mehr zu finden.
Das Ziel der Arbeit ist es die dem Leser einen Überblick über die ÜbK, deren Aufgaben und Probleme zu geben.

Gang der Arbeit
Dazu wird zunächst mit einer Einführung in das österreichische Übernahmerecht begonnen. Was sind die Gründe für das ÜbG und wie war die historische Entwicklung. Was sind die Ziele und warum sind diese von so großer Bedeutung für den österreichischen Kapitalmarkt. Desweiteren werde ich einen Überblick über die Organisation und die einzelnen Organe geben.
Den Hauptteil meiner Arbeit widme ich den Aufgaben der Übernahmekommission. Hier soll deutlich werden, wie die Übernahmekommission versucht die Ziele des Übernahmerechts umzusetzen und zu gewährleisten.
Im Anschluss daran möchte ich die Probleme aufzeigen mit denen die Übernahmekommission zu kämpfen hat und zugleich Lösungswege bzw. Verbesserungsvorschläge aufzeigen. Zum Abschluss wird ein kurzer Überblick über die bisherigen Fälle der Übernahmekommission geboten, sowie ein aktueller Fall behandelt.
